Nuto Terms of Service

Effective date: October 13, 2026
Last updated: October 13, 2026

These terms are an agreement between you and Wuhan Squirrel Partner Technology Co., Ltd. ("Nuto", "we", "us"), which runs Nuto (栗记): the Nuto apps for iOS and Android, the web app, the command-line tool (nuto / sq), the MCP interface and the plugins and connectors that use it in AI assistants (together, "Nuto"). By creating an account or using Nuto, you agree to these terms. If you do not agree, do not use Nuto.

Our Privacy Policy explains what information we collect and how we use it. It is part of how Nuto works, but it is a separate document.

1. Who can use Nuto

You must be at least 18 years old and able to form a binding contract. If you use Nuto for an organization, you agree to these terms for that organization and confirm that you may do so; "you" then includes the organization.

2. Your account

  • Keep your sign-in details to yourself and tell us at support@sqmem.top if you think someone else is using your account.
  • You are responsible for what happens under your account, including what the AI assistants and devices you connect do with the access you give them.
  • Give us a working email address. We use it to verify your account, reset your password, confirm deleting it and send the notices described in the Privacy Policy.

3. AI assistants you connect

Nuto lets AI assistants such as ChatGPT, Codex or Claude read and write your memories, issues and calendar through the command-line tool, MCP or a plugin.

  • You choose which assistants to connect and which permissions to grant, and you can revoke them at any time in Nuto's settings (devices and tokens) or in the assistant.
  • An assistant acts on your instructions, not ours. What it writes to Nuto is treated as content from you. Check what it does, especially before it marks work done, deletes an issue or shares something with a workspace.
  • The assistant is provided by another company under its own terms. What it sends to its own model provider is governed by your agreement with that provider, not by Nuto.
  • Nuto does not run its own large language model on your content. We do not guarantee that an assistant will use Nuto correctly, remember to save something, or schedule it at the time you meant.

4. Your content

"Your content" is what you or your assistants put into Nuto: issues, comments, memories, attachments, secrets in the vault and the like.

  • You own your content. We claim no ownership of it.
  • You give us a worldwide, non-exclusive, royalty-free licence to store, copy, process, transmit and display your content only as needed to run Nuto for you and the people you share it with (for example syncing it to your devices, showing it to your workspace members, generating previews and computing search embeddings as the Privacy Policy describes). The licence ends when your content is deleted, except for copies in backups until they expire and content you shared with a workspace, which stays for its other members as section 9 describes.
  • You confirm that you have the rights to the content you put into Nuto and that it does not break the law or anyone else's rights.
  • Content you share with a workspace is visible to its members. Workspace admins and owners can manage the workspace's members and settings.

5. Acceptable use

Do not use Nuto to:

  • break the law, or infringe or violate anyone's intellectual property, privacy or other rights;
  • store or share content that is illegal, sexually exploits children, harasses or threatens people, or promotes violence;
  • send spam or unsolicited messages, including through invitations or mentions;
  • upload malware or try to get into accounts, workspaces or systems you have no access to;
  • probe, scan or test Nuto's vulnerability, or get around its rate limits, quotas or security, except through a responsible disclosure to support@sqmem.top;
  • overload Nuto, scrape it, or access it by automated means other than the command-line tool, MCP, plugins and the API we provide, used as documented;
  • resell Nuto or let others use your account, except members you invite to your workspace;
  • copy, decompile or reverse engineer Nuto's apps, except where the law allows it regardless of this restriction.

We may remove content or limit or suspend access that breaks these rules (section 9).

6. Plans, payments and cancellation

Nuto has a free plan and paid subscriptions. A plan's limits (for example how many memories, issues, members and how much storage) are shown in the app and on our website, and may change; we will not reduce what a paid period you already bought includes.

  • Where you subscribe decides who bills you. Subscriptions bought in the iOS app are sold by Apple and governed by Apple's terms; those bought in the Android app are sold by Google Play under Google's terms; those bought on the web are processed by Creem, our payment provider and merchant of record. Prices, taxes and the currency are shown before you pay.
  • Renewal. Subscriptions renew automatically for the same period until you cancel. Cancel at least 24 hours before the period ends to avoid the next charge (the App Store and Google Play set this timing for their subscriptions).
  • Cancelling. Cancel in the App Store or Google Play subscription settings, or for web subscriptions in Nuto → Settings → Subscription. A cancelled subscription stays active until the end of the period you paid for.
  • Refunds. Refunds for App Store and Google Play purchases are handled by Apple and Google under their policies. For web subscriptions, contact support@sqmem.top; within 7 days of a subscription's first payment you can ask for a full refund of that payment; after that, payments for a period that has started are not refunded. Nothing here limits a refund the law where you live gives you.
  • Limits. When your content exceeds the limits of your plan (for example after a downgrade), nothing is deleted, but you may not be able to add more until you remove some or change plans.
  • Invite and creator programs. Rewards of the invite program (such as extra storage or a member seat) and any creator program are offered under the rules shown when you take part. We may change or end them for the future, and we may withhold rewards earned through fake accounts or other abuse.

7. Our service

  • We work to keep Nuto available and your content safe, but Nuto is provided as it is and as available. It may sometimes be unavailable, slow or contain errors, and features may change.
  • Nuto is not a safety-critical system. Do not rely on it alone for reminders or deadlines whose miss could cause harm, such as medication, legal or financial deadlines. Reminders depend on your device's settings and may be delayed or not delivered.
  • Keep your own copies of anything you cannot afford to lose. You can read and copy your content in the apps, and the command-line tool can list your issues and memories as JSON.
  • We may change, add or remove features. If we remove a significant paid feature during a period you paid for, we will tell you and offer a fair remedy, such as a prorated refund.

8. Third-party services

Nuto works with services we do not control: sign-in providers (Apple, Google, GitHub), app stores, payment providers, the AI assistants you connect and the calendar apps on your phone. Their terms and privacy policies apply to your use of them, and we are not responsible for them.

9. Suspension, termination and deleting your account

  • You can stop using Nuto and delete your account at any time in Settings → Account → Delete account, as described in the Privacy Policy and on our account deletion page. Deleting your account does not cancel an App Store or Google Play subscription; cancel it in that store.
  • We may suspend or end your access, with notice where reasonable, if you break these terms, if the law requires it, or if your use puts Nuto, its users or others at risk. Where we can, we will give you a chance to copy your content first, unless the breach is serious or the law prevents it.
  • We may also stop offering Nuto altogether. We will give at least 30 days' notice, the chance to copy your content, and a prorated refund of any paid period that remains.
  • After an account is deleted or ended, what we keep and for how long is set out in the Privacy Policy. Content you shared with a workspace stays there for its other members.

10. Disclaimers

To the extent the law allows, Nuto is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that Nuto will be uninterrupted or error-free, or that what an AI assistant writes into it will be correct.

11. Limitation of liability

To the extent the law allows:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of Nuto or these terms;
  • our total liability for all claims about Nuto or these terms is limited to the greater of the amount you paid us for Nuto in the 12 months before the claim arose and 100 US dollars.

These limits do not apply to liability that cannot be limited by law, such as for death or personal injury caused by negligence, fraud, or wilful misconduct, and they do not take away rights you have as a consumer that the law where you live does not let a contract remove.

12. Indemnity

If you use Nuto for a business or organization, you will defend and indemnify us against claims, losses and costs (including reasonable legal fees) that arise from your content or your breach of these terms. This section does not apply to consumers to the extent the law where they live does not allow it.

13. Governing law and disputes

These terms are governed by the laws of the People's Republic of China, without regard to its conflict-of-law rules. Disputes that cannot be resolved informally go to the competent people's court where the operator is registered (Wuhan, Hubei Province). Before starting a formal dispute, please contact us at support@sqmem.top so we can try to resolve it informally within 60 days.

If you are a consumer, this choice of law does not deprive you of the protection of the mandatory laws of the country where you live, and you may also bring a claim in the courts there. Consumers in Australia have rights under the Australian Consumer Law, and consumers in New Zealand under the Consumer Guarantees Act 1993, that these terms do not exclude.

14. Changes to these terms

We may update these terms. We will post the new version here with a new "Last updated" date. For a change that materially affects your rights, we will tell you in the app or by email at least 30 days before it takes effect, except where a change is required by law or needed to address a security risk. If you keep using Nuto after a change takes effect, you accept the new terms; if you do not, you can delete your account.

15. General

  • These terms and the Privacy Policy are the whole agreement between you and us about Nuto.
  • If a part of these terms cannot be enforced, the rest stays in effect.
  • If we do not enforce a right, we have not waived it.
  • You may not transfer your rights under these terms without our consent. We may transfer ours in a merger, acquisition or sale of assets, and will tell you if we do.
  • If these terms are translated, the English version prevails where the law allows.
